1. Who We Are

Ramen NYC is a guide and community for ramen in New York City, featuring shop listings, maps, user reviews, photos, and events. Questions? Contact us at hello@ramen-nyc.com.

2. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority in your state or country, you must have your parent or guardian’s permission. You’re responsible for complying with all applicable laws when using the Services.

3. Accounts & Security

• You may need an account to access certain features (e.g., favorites, reviews).
• Provide accurate information and keep your credentials secure.
• You’re responsible for all activity under your account.
• We may suspend or terminate accounts that violate these Terms.

4. Your Content

You may post reviews, photos, comments, and other material (“User Content”). You retain ownership of your User Content. By submitting it, you grant Ramen NYC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, publish, display, and distribute it in connection with the Services and our marketing (including social media and emails). This license ends when you delete your User Content, subject to reasonable archival/backup copies.

You represent that you own or have the necessary rights to your User Content and that it doesn’t infringe, misappropriate, or violate anyone’s rights or applicable laws.

5. Acceptable Use

You agree not to:

• Post unlawful, defamatory, harassing, hateful, or pornographic content.
• Impersonate others or misrepresent your affiliation.
• Scrape, crawl, or use automated means to access the Services without permission.
• Interfere with or disrupt the Services or security-related features.
• Reverse engineer or attempt to extract source code.
• Post fake reviews, spam, or promotional content that violates our rules.

6. Our Content & IP

The Services (including text, graphics, logos, code, and data) are owned by Ramen NYC or our licensors and are protected by intellectual property laws. You’re granted a limited, non-transferable, non-exclusive license to access and use the Services for personal, non-commercial purposes in compliance with these Terms. All rights not expressly granted are reserved.

7. Listings, Accuracy & Changes

We work hard to keep shop details, hours, and maps accurate, but information can change. We don’t guarantee completeness or accuracy and aren’t responsible for errors, outages, or third-party changes. If you spot an issue, please let us know at hello@ramen-nyc.com.

8. Third‑Party Links & Affiliates

The Services may link to third-party websites, apps, or offers (including affiliate links). We may earn a commission if you make a purchase through those links. Third-party sites are governed by their own terms and policies; we’re not responsible for their content or practices.

9. Paid Features & Featured Listings

From time to time, we may offer paid placements, “Featured” spots, or other promotional services for businesses. Any fees, durations, and terms will be disclosed at purchase. Unless stated otherwise, fees are non‑refundable once a promotion begins. We reserve the right to decline or remove promotions that violate these Terms or our brand standards.

10. Mobile App Terms

• The app may request permissions (e.g., location, camera, storage) to enable features. You can manage permissions in your device settings.
• We may send push notifications with your consent. You can opt out in settings.
• Data practices are described in our Privacy Policy.

11. Copyright Concerns

If you believe content on the Services infringes your copyright, please email us at hello@ramen-nyc.com with: (a) your contact info, (b) identification of the work and material claimed to be infringing, and (c) a statement that you have a good-faith belief that use is not authorized, plus a statement made under penalty of perjury that the information is accurate and you’re authorized to act.

Your use of the Services is also governed by our Privacy Policy.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We don’t guarantee uninterrupted or error‑free operation.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAMEN NYC AND ITS OWNERS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT, WHICHEVER IS GREATER.

15. Indemnification

You agree to defend, indemnify, and hold harmless Ramen NYC and our affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services or violation of these Terms.

16. Suspension & Termination

We may suspend or terminate your access at any time if we believe you’ve violated these Terms or to protect the Services or our community. You may stop using the Services at any time. Sections that by their nature should survive will survive termination (e.g., IP, disclaimers, liability limits).

17. Governing Law; Venue

These Terms are governed by the laws of the State of New York, without regard to conflicts of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York for any dispute arising from or relating to the Services or these Terms.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we’ll post an update here (and may notify you by email or in‑app). Continued use of the Services after changes become effective means you accept the updated Terms.
